Terms of Service

1. Agreement

By creating an account or using CellOpsis ("the Service"), you agree to these Terms of Service ("Terms"). The Service is operated by VolkCell Ltd ("VolkCell", "we", "us"). If you do not agree to these Terms, do not use the Service.

2. The service

CellOpsis is a cloud-based platform for automated microscopy image analysis, including cell counting, segmentation, and confluency measurement. We also offer CellOpsis Bench, a hardware image cytometer, subject to separate purchase terms provided at the time of sale.

3. Accounts

• You must provide accurate information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• One person or organisation may not maintain multiple free-tier accounts.
• Academic-tier pricing requires a verified institutional email address (.ac.uk, .edu, or other approved academic domains).

4. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose.
• Attempt to reverse-engineer, decompile, or extract the source code of our models or software.
• Interfere with or disrupt the Service or its infrastructure.
• Share account credentials with third parties.
• Upload content that infringes the intellectual property rights of others.
• Use automated tools to scrape or bulk-download data from the Service.

5. Your data

You retain ownership of all images and data you upload to CellOpsis. We do not claim any intellectual property rights over your content. We process your data solely to provide the analysis service. See our Privacy Policy for details on data handling.

6. Payments and subscriptions

• Paid plans are billed monthly via our payment processor. Prices are listed in GBP and exclude any applicable taxes.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• Token packs do not expire and are non-refundable once used.
• We reserve the right to change pricing with 30 days' notice.

7. Free tier

The free tier is limited to 5 images per day and uses built-in segmentation models. We may adjust free-tier limits at any time. Free-tier accounts inactive for more than 12 months may be deactivated.

8. Service availability

We aim to keep CellOpsis available at all times but do not guarantee uninterrupted access. We may perform maintenance with reasonable notice. We are not liable for downtime caused by factors outside our control.

9. Intellectual property

The CellOpsis software, models, documentation, and website content are owned by VolkCell Ltd and protected by copyright and intellectual property laws. Your subscription grants you a non-exclusive, non-transferable licence to use the Service for its intended purpose.

10. Limitation of liability

CellOpsis is a research tool. Analysis results are provided "as is" and should be validated by qualified personnel before use in any clinical, diagnostic, or safety-critical application. To the maximum extent permitted by law, VolkCell is not liable for any indirect, incidental, or consequential damages arising from your use of the Service.

11. Termination

We may suspend or terminate your account if you breach these Terms. You may close your account at any time by contacting us. Upon termination, your data will be deleted in accordance with our Privacy Policy.

12. Governing law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on our website at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
